Act as the key liaison between the company's Board of Directors, shareholders, and relevant stakeholders on all matters related to corporate governance and secretarial functions.
Coordinate and manage Board and Shareholder meetings, including drafting agendas, preparing resolutions and minutes, and ensuring timely follow-up actions and statutory submissions.
Ensure full compliance with applicable laws such as the Public Limited Companies Act, the Civil and Commercial Code, and the Securities and Exchange Act, including timely submissions to the Department of Business Development (DBD), the Stock Exchange of Thailand (if required), and other regulatory bodies.
Offer expert guidance on corporate governance practices, board performance, director induction processes, and directors' fiduciary responsibilities.
Serve as the communication bridge with external parties such as regulators, auditors, and legal consultants to facilitate audits, regulatory reviews, and filings.
Keep all corporate records, shareholder information, and legal documents up to date in accordance with local legal requirements.
Legal Management:
Prepare, assess, and negotiate a variety of legal agreements including commercial contracts, joint ventures, property leases, development agreements, and documents related to real estate activities.
Lead and supervise legal due diligence processes, particularly focusing on land acquisitions, title searches, and regulatory compliance concerning land use and zoning.
Track and evaluate changes in relevant legislation and regulatory frameworks, determine their implications for the business, and ensure ongoing legal compliance.
Manage the company's intellectual property rights portfolio, including overseeing registrations and protections for trademarks, copyrights, and licenses.
Create and implement internal legal policies, standardize contract templates, and develop compliance measures tailored to the company's operational and risk profile.
Provide practical, business-oriented legal advice and support to internal teams, translating complex legal issues into actionable business decisions.
Guide and develop the legal team by offering leadership, mentorship, and professional growth opportunities to maintain high-quality legal support across the organization.
Experience requirements· Bachelor's degree or higher in any related fields· At least 5-7 years of experience in company secretarial roles, ideally in a corporate setting.· Exceptional negotiation, and communication skills.· Strong organizational abilities, attention to detail, and capability to manage multiple tasks concurrently.· Proficient in English, especially in reading and writing.Contact Person
